1. LendEX IS WILLING TO LICENSE ACCESS TO THE LendEX SECURITIES LENDING PRODUCT ON THE CONDITION THAT USER ACCEPTS ALL OF THE TERMS CONTAINED IN THIS AGREEMENT. PLEASE READ THIS AGREEMENT CAREFULLY. BY BECOMING A MEMBER TO LendEX, USER AGREES TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

2. Ownership and License. This is a license agreement and NOT an agreement for sale. It permits User to access the information available on the LendEX platform. All information is protected by applicable copyright law. No permission is granted to copy, distribute, modify, paste, excerpt, frame or otherwise extract any graphics, text, software codes, interfaces, or logos. All content is subject to applicable statute and regulations. ALL INFORMATION IS FURNISHED AS IS WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. USER'S RIGHTS TO INFORMATION PROVIDED ON THE LendEX PLATFORM ARE SPECIFIED IN THIS AGREEMENT, AND LendEX RETAINS ALL RIGHTS NOT EXPRESSLY GRANTED TO USER IN THIS AGREEMENT.

3. Grant of License. LendEX is an information service and securities lending matching product. All information is displayed as supplied to LendEX. LendEX is not responsible for the accuracy of the data supplied by LendEX members. User may use the information available on the LendEX platform within its own computer system. Other than the foregoing, User may not copy any portion of the information available on the LendEX platform within its own computer system to its computer hard disk or any other media.

4. Transfer and Other Restrictions. User may not sell, rent, lend, or lease the information available on the LendEX platform outside its own computer system. Any attempted transfer of possession terminates User's license from LendEX. No transferee or other party shall be licensed under the terms of this Agreement except upon acceptance of this Agreement by said party. If User terminates its relationship with LendEX, user may not retain any information obtained from the LendEX platform.

5. Information from Users. Information obtained from Users of the LendEX product will not be sold or transferred to any third party without the consent of LendEX. If User identifies any errors in its personal information, or needs to make a change to that information, User is responsible for advising LendEX.

6. User Obligations. Users are required to provide accurate information to LendEX for inclusion in the LendEX securities lending product. LendEX is not responsible for inaccurate information provided by User. Users who utilize the services of LendEX to display their information are responsible for timely and accurately uploading and inputting such information.

7. Levels of Access. Users are eligible for the specific information and services specifically subscribed to.

8. Borrower Fees. Borrower fees are payable to LendEX on loan commencement date. A user may cancel its access at any time. Failures to pay LendEX fees within a suitable time frame risks access cancellation to LendEX products.

9. Conditions of Use, Notices and Revisions. If User chooses to visit the LendEX product, User's visit is subject to this Notice and LendEX Conditions of Use as may be in effect from time to time, including limitations on damages and application of the law of the State of New Jersey. User hereby consents to being subject to personal jurisdiction in the state and federal courts of New Jersey. This Notice and the Conditions of Use will change also. User is responsible for reviewing periodically any such changes.
By using this product, User agrees to abide by all applicable laws in connection with LendEX’s intellectual property rights. User may download any part of LendEX’s product for its use only but not to republish or redistribute any materials, whether in printed or electronic format to any third party without LendEX approval.

10. WARRANTY DISCLAIMER. LendEX DOES NOT WARRANT THAT INFORMATION PREPARED BY LendEX WILL MEET USER REQUIREMENTS OR THAT IT’S OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. LendEX EXCLUDES AND EXPRESSLY DISCLAIM’S ALL EXPRESS AND IMPLIED WARRANTIES NOT STATED HEREIN, INCLUDING THE IMPLIED WARRANTIES OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. IN NO EVENT WILL LendEX BE LIABLE TO USER FOR ANY INDIRECT, SPECIAL, DIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS) EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Security. LendEX protects the integrity and privacy of User information with the technology currently available. LendEX uses firewall technology to protect all traffic in and out of the LendEX platform. These firewalls are designed to prevent unauthorized access to databases that store information. If the LendEX system is compromised, however, LendEX shall have no liability to the User.

12. Termination. This Agreement and User's right to access the LendEX platform may be terminated by LendEX without notice if User fails to comply with any provisions of this Agreement.

13. Miscellaneous Provision. This Agreement will be governed by and construed in accordance with the substantive laws of New Jersey. This is the entire agreement between User and LendEX relating to the LendEX platform and supersedes any prior communications, advertising or representations concerning the LendEX platform or services. No change or modification of this Agreement will be valid unless it is in writing, and is signed by LendEX.

14. Customer Contact. LendEX provides a secure e-mail form for subscribers to contact us.
For most inquiries, User will receive a response within 24 hours or the next business day. Some responses may require more than 24-hour response to properly address your concerns.
